1.The name of the Club shall be the `Westlands Club`.
2.The objects of the Club shall be -
a) The promotion of social activities, the playing of Snooker and Darts and such other games as the Committee may consider desirable.
b) The maintenance of the Clubhouse and such other facilities as the Committee may decide, for the use of Members of the Club.
3.All gentlemen of not less than eighteen years of age shall be eligible to apply for membership.
4. A President, Vice-President and the joint position of Secretary/Treasurer shall be elected for a three year term of office, one position becoming vacant each year. These officers, together with nine Committeemen (three of whom shall retire annually in rotation, but be eligible for re-election) shall constitute a Committee of management; nominees must have held membership of the Club for at least one year, (such Committee choosing their own Chairman) with full power to transact all the business of the Club, except such business as is by these Rules only capable of being transacted in Annual General Meeting or Special General Meeting of the Club. Five Committeemen shall form a quorum. The Committee have power to co-opt any one member on to the Committee until the next Annual General Meeting. Any Committee Member being absent three consecutive Meetings without reasonable cause will automatically cease to be on the Committee.
5.A Candidate for Membership shall be proposed by one member and seconded by another, both of whom shall vouch from their personal knowledge for the fitness of the Candidate, plus having been members themselves for at least one year. The Candidate shall be proposed by filling in a proposal form, giving his name and address in full, with the signatures of the proposer and seconder which shall be posted in one of the principal rooms of the Clubhouse for forty-eight hours preceding the time when the Candidate comes up for election. At the next Meeting of the Committee after the expiration of such forty-eight hours from the time of such posting, the Candidate’s name shall be submitted to the Committee for election by that body, together with particulars of any objections which may have been received by the Secretary or other Officers of the Club. The election may be by ballot of the Members of the Committee present at such Meeting, and (subject to the provisions hereinafter mentioned) a majority of at least two-thirds of the Committeemen present shall be required for the election of the Candidate, If at any such Meeting, there shall be three or more objections presented to the Committee by Ordinary Members, in respect of any candidature, then the question of the election of such Candidate shall be deferred to the next meeting of the Committee. Any gentleman applying to become a member must deposit the amount of one Subscription before his nomination shall be considered by the Committee. Should the nominees not be elected, the amount so deposited shall be returned to him.
6.The Committee may hold its meetings and its elections shall take place on such days and at such times and in such manners as the Committee shall from time to time determine, and the decision of the Committee arrived at in accordance with provisions of Rule 5 as to whether any Candidate for membership has been duly elected or not shall be final.
7.Immediately upon the election of a Member he shall become a Member of the Club and be entitled to all benefits and privileges of such Membership, and be bound by these Rules.
8.The Annual Subscription shall be determined at the Annual General Meeting or at any Special General Meeting and shall apply to the following year commencing 1st January on which date they become due. All Members who have attained 65 years or more providing they have been Members for five years or more, shall be deemed ‘Life Members’ and therefore not pay any subscriptions.
9.Any Member may resign his Membership of the Club by giving notice (in writing) to the Secretary to that effect. Every such notice must be given before the end of the year for which his Subscription has already been paid, otherwise the Member shall be liable to pay his Subscription for the following year.
10.Any gentleman shall, upon ceasing to be a member of the Club forfeit all right to and claim upon the Club and its property and funds.
11.The Committee may from time to time appoint, from among their number, such Sub-Committees as they may deem necessary or expedient, and may depute or refer to them such of the powers and duties of the Committee as the Committee may determine. The Sub-Committee shall periodically report their proceedings to the Committee, and shall conduct their business in accordance with the direction of the Committee.
12.The Committee shall from time to time make, rescind and amend, all such Bye-laws and Regulations (not inconsistent with these Rules) as they think expedient for the management and well being of the Club. All Bye-laws and Regulations made by the Committee under this Rule shall be binding upon the Members until rescinded by the Committee or set aside by a Resolution of A General Meeting of the Club.
13.If, at any time , the Club in General Meeting shall pass a Resolution authorising the Committee to borrow money, the Committee shall thereupon be empowered to borrow for the purpose of the Club such amount of money either at one time; or from time to time and at such rates of interest, and in such form and manner and upon such security as may be specified in such Resolution, and thereupon the Committee shall make all such dispositions of the Club property or any part thereof and enter into such agreements in relation thereto as the Committee may deem proper for giving security for such loans and interest. For the effectual passing of any such Resolution of the Club in General Meeting authorising the borrowing of any money, a majority of at least two-thirds of the Members present at such meeting shall be required. All Members of the Club whether voting on such a Resolution or not, and all persons becoming Members of the Club after the passing of such a Resolution, shall be deemed to have assented to the same, as if they had voted in favour thereof.
14.The Annual General Meeting of the Club shall be held in the month of February upon a date and a time to be fixed by the Committee fourteen days notice at least of such Meeting to be given, for the following purposes -
a) To receive from the committee a Report, Balance Sheet and Statement of Account, for the preceding Financial year ending 31st December.
b) To elect the Officers and Committee for the following year.
c) To decide on any resolution which may be duly submitted to the Meeting as hereinafter provided.
15.Any Member submitting any resolution at the Annual General Meeting shall give notice thereof in writing to the Secretary not less than three days before the date of such meeting.
16.The Committee May at any time for any special purpose call a Special General Meeting of the Club, and they shall do so forthwith upon the requisition in writing of any twelve Members, stating the purpose for which the Meeting is required. They shall also do so in case of any time the Secretary shall receive notice in writing from any Member whose Membership shall have been cancelled by the Committee demanding a review of the decision of the Committee. At any such Meeting twenty-one members shall form a quorum, and if a quorum is not present within twenty minutes after the time fixed for the Meeting, such a Meeting shall stand adjourned to a time and place to be agreed within fourteen days of the first meeting, and in default of an agreement being arrived at between the Committee and the Member or Members concerned within the said period, the Committee shall fix and give notice to the said Member of the time and place of such adjourned Meeting. If a quorum shall not be present within twenty minutes after the time fixed for the adjourned Meeting, the Meeting shall be deemed to be discharged , the decision of the Committee shall be deemed to have been upheld.
17.The Club premises shall be open to Members daily from 12 noon to 11.30 pm. Permitted hours for the sale of intoxicants shall be -

Any Visitor shall be limited to three visits in any one calendar year and no Visitor shall be allowed in the Club after 9.30 pm.
No hot food must be brought onto the premises at any time.
18.The Club premises shall not be used for gambling, and the Committee shall have the power to prohibit any games which, in their opinion, would be injurious to the interest of the Club.
19.Every Member shall be allowed to introduce visitors subject to such Regulations or Bye-laws as shall be made from time to time by the Committee , and every visitor shall be considered the guest of, and accompanied by, the Member introducing him. Provided that no person shall be introduced as a visitor into the Club who shall have been expelled from membership or whose conduct or presence on the Club premises shall be considered by the Committee objectionable or prejudicial to the interests of the Club.
20.All the property of the Club shall vest in the Committee for the time being.
21.The Committee are the sole authority for he interpretation of these Rules and of the Bye-laws and Regulations made thereunder, and the decision of the Committee upon any question of interpretation or upon any matter affecting the Club, and not provided for by these Rules, or by the bye-laws and Regulations made thereunder, shall be final and binding on the Members until rescinded or varied in manner provided for by Rule 12 hereof.
22.These rules may be added to, rescinded or amended by resolution at any Annual or Special General Meeting, provided that no such resolution shall be deemed to have been passed unless carried by a majority of at least two-thirds of the Members present.
23.No Member shall bring a dog on to the Club Premises -
Guide dogs exempted.
24.If a Member shall not pay his subscription within one month of the same becoming due, he shall forfeit his Membership and have to re-apply if and when the Membership is open, excepting Merchant Seamen and others working away. If a Member commits a breach of the Rules, or of the bye-laws and/or Regulations made thereunder (whether by way of Commission or Omission) or shall behave in a manner unworthy of a gentleman or, in the opinion of the Committee, contrary to the interests of the Club, the Committee may by letter, invite such Member to withdraw from membership of the Club within the time specified in such letter and in default of such withdrawal, the Committee may cancel his membership. Whereupon such Member shall cease to be a Member of the Club provided that -
a) Prior to the cancellation of his membership, such member shall previously have been notified in writing of the charge or charges against him and he shall have been given the opportunity to reply to them.
b) He shall have the right of appeal to a Special General Meeting of the Club, if within one month after being notified of the decision of the Committee to cancel his membership, he shall give notice in writing to the Secretary demanding a review of such decision, in which case he shall be entitled to attend such Special General Meeting and defend himself against the charges, but not vote.
25.If at any General Meeting a resolution for the dissolution of the Club shall by a majority of the Members present, a special General Meeting shall be called not less than one month after. If at this Meeting at which not less than one third of the Ordinary Members shall be present, the resolution shall be confirmed by a majority of two-thirds of the Members present, the Committee shall thereupon or at such future date as shall be specified in such resolution, proceed to realize the property of the Club, and after the discharge of all liabilities, shall divide the same between the Ordinary Members who have previously been subscribing Members pro-rata, according to the number of years they shall each have been an Ordinary Member of the Club. Upon the Completion of such division the Club shall be dissolved.
